1. Acceptance of Terms

By accessing or using the Grandson Service platform — whether as a client, family member, companion, home service worker, or visitor — you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these Terms, do not access or use our platform. These Terms of Service constitute a legally binding agreement between you and Grandson Service LLC. Your continued use of the platform after any modification to these Terms constitutes your acceptance of the revised Terms. These Terms apply to all users of the platform regardless of how you access it, including through a web browser, mobile application, or any other interface we may provide.

2. Description of Services

Grandson Service operates a technology-enabled home care and home services platform that connects clients and families with vetted companions and home service workers. Our services include non-medical companion care, home safety assessments, grocery and errand runs, medical appointment transportation, furniture assembly, cleaning services, moving assistance, yard work, handyman services, homework help, and family and child companion support. Grandson Service provides the technology infrastructure, matching algorithm, scheduling tools, payment processing, compliance management, and administrative support that enable these services to be delivered. Grandson Service facilitates the connection between clients and service providers but does not directly employ companions or workers as employees in all markets — the employment relationship, where applicable, is governed by applicable state and federal worker classification laws, and the specific nature of any working relationship will be described in any applicable separate agreement. Grandson Service does not guarantee the availability of any specific service in any geographic area, and service offerings may change without notice.

3. Account Registration and Eligibility

You must be at least 18 years of age to create an account on the Grandson Service platform, except where a parent or legal guardian creates an account on behalf of a minor for applicable services such as homework help or child companion care. By registering, you represent and warrant that all information you provide is accurate, current, and complete, and that you will maintain the accuracy of such information throughout your use of the platform. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach. You may not create an account on behalf of another person or organization without their explicit authorization, and you may not create multiple accounts for the purpose of circumventing any suspension, termination, or restriction. Grandson Service reserves the right to suspend or permanently terminate any account that it believes, in its sole discretion, violates these Terms, poses a safety risk, or involves fraudulent or deceptive conduct.

4. Companion and Worker Terms — Insurance and Liability

(a) Independent Contractor Status. Companions and workers in the Grandson Service network operate as independent contractors, not employees of Grandson Service, unless otherwise specified by a separate written employment agreement signed by an authorized representative of Grandson Service LLC. As independent contractors, companions and workers are solely responsible for their own tax obligations, including federal and state income tax and self-employment taxes. Grandson Service will provide earnings records as required by law but does not withhold federal or state income taxes on behalf of independent contractors, except where legally required to do so. Nothing in these Terms or in the platform relationship creates a partnership, joint venture, agency, franchise, or employment relationship between you and Grandson Service.

(b) Insurance Requirement. All companions and workers who provide in-home services — including but not limited to furniture assembly, handyman work, moving assistance, cleaning, and yard work — are required to maintain their own general liability insurance in an amount no less than $100,000 per occurrence where such services create a meaningful risk of property damage or personal injury. Grandson Service strongly recommends that all companions and workers, regardless of service type, maintain personal liability coverage appropriate to their activities. Proof of insurance may be requested at any time by Grandson Service or by a client, and is a required condition for activation in certain service categories. Failure to maintain required insurance, or providing false proof of insurance, constitutes grounds for immediate suspension from the network and may result in permanent removal.

(c) Liability for Insurance Claims. In the event that a claim arises from a service performed by a companion or worker — including property damage, personal injury, theft, neglect, or any other act or omission occurring in the course of service delivery — the companion or worker is solely liable for such claims to the extent they result from their own acts or omissions. Grandson Service does not assume, and expressly disclaims, liability for the independent acts, omissions, or conduct of companions or workers during the performance of services. Where Grandson Service incurs costs, legal fees, settlements, judgments, or damages arising from a companion or worker's conduct in connection with services, Grandson Service reserves the right to seek full indemnification from that companion or worker, and may offset such amounts against pending or future earnings.

(d) Job Sourcing Authorization. By joining the Grandson Service network and accepting these Terms, companions and workers grant Grandson Service the non-exclusive, royalty-free right to source, post, and facilitate the assignment of service jobs on their behalf using information provided during the application and onboarding process — including their service categories, geographic markets, availability schedule, and skill sets. Grandson Service may present companion or worker profiles and relevant credentials to prospective clients, Fiscal Intermediary partners, and home care agencies for the purpose of job matching and placement. This authorization is limited strictly to lawful job sourcing and placement activities and does not grant Grandson Service the right to enter into contracts, negotiate wages, or represent companions or workers in legal, financial, or regulatory matters without a separate written authorization.

(e) Background Check Consent and Policy. All companions and workers must consent to and successfully complete a background check prior to activation in the Grandson Service network. Background checks are conducted through third-party screening providers and may include criminal history (including sex offender registry checks), identity verification, and employment verification, as permitted by applicable law. Companions and workers who receive a disqualifying result — including but not limited to convictions for crimes involving violence, theft, financial fraud, abuse, neglect, exploitation, or any offense that would prohibit them from working with vulnerable populations under applicable state law — will not be approved for the network and any pending approval will be withdrawn. Grandson Service complies with the Fair Credit Reporting Act (FCRA) in administering background checks, including providing required adverse action notices. Background check results are kept strictly confidential and shared only as required for Fiscal Intermediary enrollment or as required by law.

(f) Fiscal Intermediary Enrollment. Companions who elect to participate in the Companion Network track, which enables assignment to Medicaid-funded care cases, agree to complete enrollment with a Fiscal Intermediary (FI) partner as required by that partner and by applicable Medicaid program rules. This enrollment includes submission of required identification documents, completion of FI-specific training and orientation programs, compliance with ongoing FI program requirements, and authorization for information sharing between Grandson Service and the FI partner as described in our Privacy Policy. Grandson Service does not guarantee placement on Medicaid-funded cases, as placement is subject to FI approval, available caseload, geographic service areas, and client compatibility. Companions who have been enrolled with an FI partner remain subject to that partner's program rules and compliance requirements in addition to these Terms.

(g) Case Commitment Clause. Companions who are placed on a Medicaid-funded care case through a Fiscal Intermediary partner agree not to voluntarily abandon or unilaterally terminate that case without providing a minimum of thirty (30) calendar days' written notice to Grandson Service and working cooperatively with the assigned care coordinator to develop a transition plan that protects the continuity of care for the client. This obligation reflects the vulnerability of the clients we serve and the disruption caused by abrupt companion departures. Abandonment of a case without proper notice — defined as cessation of service without the required notice and transition cooperation — may result in immediate suspension from the network, permanent removal from the network, or both, and may trigger an earnings deduction as described in Section 4(h).

(h) Deductions for Policy Violations. Grandson Service reserves the right to deduct amounts from a companion or worker's pending or future earnings in the following limited circumstances: (i) where the companion or worker's conduct has caused verified, documented financial damage to Grandson Service, including emergency client replacement costs arising from an abrupt case abandonment; (ii) where a companion abandons a case in material violation of the Case Commitment Clause and Grandson Service incurs documented, quantifiable costs as a direct result; (iii) where an overpayment has occurred due to a platform error or payroll calculation mistake and a repayment arrangement has been agreed upon in writing; (iv) where a companion or worker has been found, following a reasonable investigation, to have submitted fraudulent time records, falsified visit logs, or misrepresented service delivery. All proposed deductions will be communicated to the companion or worker in writing prior to processing where practicable. Companions and workers have the right to dispute any proposed deduction within seven (7) business days of receiving written notice by submitting a written objection to support@grandsonservices.com, and Grandson Service will review the dispute in good faith before finalizing the deduction.

(i) Code of Conduct. All companions and workers agree to the following conduct standards as a condition of participation in the Grandson Service network: to treat all clients with dignity, respect, and professional courtesy at all times; to maintain the strict confidentiality of all client personal, health-related, and financial information, including after leaving the network; not to solicit clients for services outside the Grandson Service platform, whether during or after the service relationship; not to engage in any form of financial exploitation, physical abuse, emotional abuse, neglect, or inappropriate personal or romantic relationships with clients; to promptly report any safety concerns, observed incidents, or suspected abuse or neglect through the platform's reporting tools; and to comply with all applicable mandatory reporting laws, including those governing the reporting of abuse or neglect of vulnerable adults and children. Violations of the Code of Conduct are grounds for immediate removal from the network.

5. Client Terms

Clients and their family members or authorized representatives agree to provide accurate, complete, and current information about care needs, relevant medical conditions or mobility limitations that affect service delivery, emergency contacts, and household access requirements. Clients agree not to ask or direct companions or workers to perform tasks that fall outside their agreed service scope, or to perform tasks that could reasonably be expected to create physical risk to the companion or worker. Clients agree to treat all companions and workers with professionalism, dignity, and respect, and to maintain a safe working environment in the service location. Clients acknowledge and agree that Grandson Service companions provide strictly non-medical services — they are not licensed healthcare professionals and cannot provide medical advice, diagnose conditions, administer prescription medications, perform clinical procedures, or substitute for licensed medical care. Any health emergency during a service visit should be addressed by calling emergency services (911) immediately. Clients agree not to share account credentials with unauthorized persons or to allow access to the platform by individuals who have not agreed to these Terms.

6. Payment Terms

Clients enrolled in private-pay membership plans agree to pay all applicable fees on the designated billing cycle date using the payment method on file. Membership fees are charged in advance for each billing period. Call credits and overage credits are non-refundable once they have been applied to services, though unused credits purchased in error may be reviewed for refund consideration on a case-by-case basis by contacting support. Membership plans may be cancelled with a minimum of thirty (30) days' written notice prior to the next billing date; cancellations received within the billing period will take effect at the end of that period. Grandson Service reserves the right to suspend or limit service access for accounts with outstanding past-due balances. For companions and workers, earnings are calculated based on completed and verified visit logs and are processed on the applicable payroll schedule as described in the platform. Payroll disbursements are subject to administrative review and approval. The Instant Pay feature, which allows early access to a portion of earned wages, is a discretionary courtesy feature offered to eligible companions and is not a guaranteed service. Grandson Service reserves the right to modify, suspend, or discontinue the Instant Pay feature at any time.

7. Intellectual Property

All content, design elements, user interface layouts, code, branding materials, trademarks, service marks, logos, and other materials on the Grandson Service platform are owned by or licensed to Grandson Service LLC and are protected by federal and state intellectual property laws, including copyright, trademark, and trade secret law. No license to use any intellectual property of Grandson Service is granted to users except for the limited, non-exclusive, non-transferable right to access and use the platform in accordance with these Terms for its intended purpose. You may not reproduce, copy, modify, distribute, transmit, display, publish, license, create derivative works from, transfer, or sell any content or materials from the platform without the prior written permission of Grandson Service LLC. Any feedback, suggestions, or ideas you submit regarding our services may be used by Grandson Service without restriction or compensation to you.

8. Prohibited Conduct

You agree that you will not use the Grandson Service platform for any purpose that is unlawful, harmful, fraudulent, or otherwise prohibited by these Terms. Prohibited conduct includes, without limitation: using the platform to arrange or conduct services with matched companions or workers outside the Grandson Service platform in order to circumvent fees, payroll, or compliance requirements; uploading, submitting, or transmitting any information that is false, misleading, defamatory, or fraudulent; harassing, threatening, intimidating, or abusing any other user of the platform; attempting to gain unauthorized access to platform systems, databases, or other users' accounts; interfering with or disrupting platform operations, servers, or networks; using automated tools, bots, or scripts to scrape, access, or manipulate platform data; impersonating any person or entity; and using the platform to transmit unsolicited commercial communications or malware.

9. Termination

Grandson Service may suspend or permanently terminate any account at any time, with or without notice, for violation of these Terms, fraudulent or deceptive activity, conduct that poses a safety risk to clients, companions, workers, or the public, or extended inactivity. Companions and workers removed for cause — including Code of Conduct violations, case abandonment, fraudulent submissions, or failure to maintain required credentials — may forfeit some or all pending earnings subject to the deduction policy described in Section 4(h) and applicable law. Users may request the closure of their accounts at any time by contacting support@grandsonservices.com. Account closure does not affect any obligations or liabilities that arose prior to closure, including outstanding payment obligations or indemnification obligations. Sections of these Terms that by their nature survive termination — including Sections 7, 10, 11, and 12 — shall continue in full force and effect after termination of your account.

10. Disclaimers and Limitation of Liability

THE GRANDSON SERVICE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GRANDSON SERVICE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE RESULTS OBTAINED FROM USING THE PLATFORM WILL BE ACCURATE OR RELIABLE. GRANDSON SERVICE DOES NOT WARRANT THAT ANY COMPANION OR WORKER WILL MEET YOUR SPECIFIC REQUIREMENTS, THAT SERVICES WILL BE AVAILABLE IN YOUR GEOGRAPHIC AREA, OR THAT THE PLATFORM WILL MEET YOUR EXPECTATIONS IN ANY RESPECT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRANDSON SERVICE'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE TOTAL AMOUNT PAID BY YOU TO GRANDSON SERVICE IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL GRANDSON SERVICE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, IN WHICH CASE THE APPLICABLE LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED.

11. Indemnification

You agree to indemnify, defend, and hold harmless Grandson Service LLC, its parent companies, subsidiaries, affiliates, officers, directors, members, employees, contractors, agents, licensors, and successors from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses — including reasonable attorneys' fees and court costs — arising out of or relating to: (a) your use of or access to the Grandson Service platform; (b) your violation of any provision of these Terms; (c) your violation of any applicable law, rule, or regulation; (d) any services you provide or receive through the platform; (e) any information you submit to or through the platform; or (f) any dispute between you and another user of the platform. Grandson Service reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with Grandson Service in asserting any available defenses.

12. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms of Service, the Grandson Service platform, or any services provided through the platform shall first be submitted to good-faith negotiation between the parties. Either party may initiate the negotiation process by providing written notice to the other party describing the nature of the dispute in reasonable detail. If the dispute is not resolved through good-faith negotiation within thirty (30) calendar days of the written notice, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer or Commercial Arbitration Rules, as applicable, in effect at the time of the dispute. The arbitration shall be conducted in the State of New York, in the English language, before a single arbitrator. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATION, OR ANY REPRESENTATIVE ACTION ON BEHALF OF OTHER USERS. Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration, including in connection with intellectual property violations.

13. Governing Law

These Terms of Service and any dispute arising out of or relating to these Terms, the platform, or any services provided through the platform shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Subject to the arbitration provision in Section 12, the parties consent to the exclusive jurisdiction of the federal and state courts located in New York for any dispute that is not subject to arbitration, and waive any objection to personal jurisdiction or venue in such courts.

14. Changes to These Terms

Grandson Service reserves the right to modify these Terms of Service at any time to reflect changes in our services, applicable law, or business practices. When we make material changes to these Terms, we will provide advance notice of at least fourteen (14) calendar days by sending an email to the address associated with your account and/or by posting a prominent notice within the platform. The "Last updated" date at the top of this page reflects the most recent revision. Changes to the Terms will take effect on the stated effective date. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue use of the platform and may close your account by contacting support.
